Terms of Use

1. Acceptance of the Terms

By downloading, installing, or using any part of the Felix Vita mobile application, website, or related services (collectively, the "Services"), you ("User," "you," or "your") acknowledge that you have read, understand, and agree to be bound by these Terms of Use (the "Terms"), the Privacy Policy (published separately), and any additional policies referenced herein (together, the "Agreement"). If you do not agree, do not access or use the Services.

2. Description of Services

Felix Vita provides a flexible digital‑health platform that allows:

• Individuals to receive protocol recommendations from licensed health‑care professionals and other qualified wellness practitioners who choose to use Felix Vita with the people they support;
• Individuals to browse and download professionally‑curated health and wellness protocols from the Felix Vita library;
• All Users to create, track, and monitor individualized goals through an AI‑powered chat interface (large language model, "LLM Chat");
• Organizations—such as workplaces, clinics, or community groups—can offer Felix Vita to their members and see overall, de‑identified progress insights (shared only with proper permission).

Felix Vita is not a medical device and does not itself provide medical or mental‑health services. See Section 4.

3. Eligibility & Account Registration

• Minimum Age. You must be at least 13 years old to create an account; if you are under 18, you may use the Services only with the consent and supervision of a parent or legal guardian.
• Accurate Information. You agree to provide and maintain accurate, current, and complete information.
• Security. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.

4. No Medical Advice; No Emergency Services

The content generated by the LLM Chat, protocols supplied through our library, and any information displayed within the Services (collectively, "Content") are provided for informational and educational purposes only. Felix Vita is not engaged in the practice of medicine and does not create a physician–patient or other provider–patient relationship. Always seek the advice of a qualified health‑care provider regarding any medical condition or treatment. Do not use the Services for emergencies. If you believe you may have a medical emergency, call 911 immediately.

5. User Conduct & Prohibited Activities

You agree that you will not:

1. use the Services for any unlawful purpose or in violation of any applicable law;
2. upload, transmit, or otherwise make available any content that is unlawful, harmful, or infringes the rights of others;
3. attempt to gain unauthorized access to any portion of the Services or related systems;
4. use any automated means (bots, scrapers, etc.) without our prior written permission; or
5. reverse‑engineer, decompile, or otherwise attempt to derive source code except to the limited extent allowed by law.

6. Intellectual Property

All software, text, graphics, and other materials within the Services (excluding User‑provided submissions) are owned by Felix Vita or its licensors and protected under U.S. and international IP laws. We grant you a limited, non‑exclusive, non‑transferable, revocable license to use the Services for personal, non‑commercial purposes, conditioned on your continued compliance with this Agreement.

7. User Submissions & License Grant

By submitting any data, content, feedback, or other materials ("User Submissions") you:

• represent and warrant that you have all necessary rights to provide such User Submissions; and
• grant Felix Vita a worldwide, royalty‑free, sublicensable license to host, reproduce, modify, adapt, publish, create derivative works from, and otherwise use the User Submissions for the purpose of operating, improving, and promoting the Services, subject to the Privacy Policy and applicable law.

8. Payment & Subscriptions

Certain features may require payment. Prices, billing periods, and renewal terms will be disclosed prior to purchase and are subject to change upon prior notice. Unless cancelled, subscriptions renew automatically at the then‑current rate. Fees are non‑refundable except as required by law.

9. Third‑Party Integrations & Content

The Services may link to or integrate with third‑party applications, devices, or services. Felix Vita does not endorse, and is not responsible for, third‑party offerings. Use them at your own risk and review their terms and privacy policies.

10. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND ACCURACY. FELIX VITA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, NOR THAT ANY HEALTH OUTCOME WILL RESULT FROM THEIR USE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FELIX VITA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS (THE "FELIX VITA PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT SHALL THE TOTAL LIABILITY OF THE FELIX VITA PARTIES EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO FELIX VITA IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $300.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Felix Vita Parties from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including reasonable attorney fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of this Agreement; (iii) your User Submissions; or (iv) your violation of any third‑party right.

13. Governing Law; Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, without regard to conflict‑of‑laws principles. Binding Arbitration. Any dispute arising out of or relating to this Agreement or the Services that cannot be resolved informally shall be finally settled by confidential, binding arbitration in Wilmington, Delaware, administered by JAMS under its Comprehensive Arbitration Rules. Class Action Waiver. All claims must be brought in the parties’ individual capacities, not as a plaintiff or class member in any purported class or representative proceeding.

14. Modification of Terms

Felix Vita may modify these Terms at any time. Material changes will be notified to you via the Services or e‑mail. Continued use after the effective date constitutes acceptance.

15. Termination

Felix Vita may suspend or terminate your access at any time for any reason, including breach of this Agreement. Upon termination, Sections 6, 7, 10–14, and any other provisions which by their nature should survive, shall survive.
